Mind’s Well is Looking for Board Members

Mind’s Well is a social enterprise that aims to deliver high quality training to enhance the role of peer support in service delivery  The organisation is an SQA approved centre and is passionate about delivering qualifications, training and learning opportunities for people who have lived experience of mental health issues and/or addictions.

The Board will support the work of Mind’s Well and provide mission-based leadership and strategic governance. While day-to-day operations are led by Mind’s Well’s chief executive officer (CEO), the Board-CEO relationship is a partnership, and the appropriate involvement of the Board is both critical and expected.

Purpose:

To advise, govern, oversee policy and direction, and assist with the leadership and general promotion of Mind’s Well so as to support the organization’s mission and needs.
Responsibilities

Leadership, Governance and Oversight:

  • Serving as a trusted advisor to the CEO as they develop and implement Mind’s Well’s strategic plan
  • Reviewing outcomes and metrics created by Mind’s Well for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics
  • Reviewing agenda and supporting materials prior to board and committee meetings
  • Advising on Mind’s Well’s annual budget, and audit reports; being informed of, and meeting all, legal and fiduciary responsibilities
  • Contributing to an annual performance evaluation of the CEO
  • Assisting the CEO in identifying and recruiting other Board Members
  • Partnering with the CEO and other board members to ensure that board resolutions are carried out
  • Serving on committees or task forces and taking on special assignments
  • Representing Mind’s Well to stakeholders; acting as an ambassador for the organisation
  • Ensuring Mind’s Well’s commitment to a diverse board and staff that reflects the communities Mind’s Well serves

Members of the board share these responsibilities while acting in the interest of Mind’s Well. Each member is expected to make recommendations based on his or her experience and vantage point in the community

Expectations of board members:

  • Attend and participate in meetings on a regular basis, and special events as able.
  • Participate on a standing committee of the board, and serve on ad-hoc committees as necessary.
  • Be alert to community concerns that can be addressed by (name of org) mission, objectives, and programs.
  • Help communicate and promote Mind’s Well mission and programs to the community.
  • Become familiar with Mind’s Well finances, budget, and financial/resource needs.
  • Understand the policies and procedures of Mind’s Well.
  • Declare any possible conflict of interest.
  • Keep confidentiality regarding the enterprise’s activities.

Board terms/participation:
Mind’s Well’s Board Members will serve a one-year term to be eligible for re-appointment for three additional terms. Board meetings will be held quarterly and committee meetings will be held in coordination with full board meetings.
